1. Acceptance of Terms

By accessing or using MakeYouProductive ("Service") at makeyouproductive.com, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service. These terms form a legally binding agreement between you and Arun Sharma (HUF) ("Company").

2. Description of Service

MakeYouProductive is a cloud-based SaaS platform providing business management tools including payroll, HR, CRM, and related applications. The Service is provided on a subscription basis.

3. Accounts and Eligibility

• You must be at least 18 years old and have authority to bind your organisation to these terms.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information during registration.
• You are responsible for all activities that occur under your account.

4. Subscriptions and Billing

• Subscriptions are billed monthly or annually in advance as selected at checkout.
• Prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes.
• Payments are processed by Razorpay. By subscribing, you also agree to Razorpay's terms of service.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• Free trials are provided as described on the pricing page. No payment is required during the trial period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of the Service.
• Upload or transmit malicious code, viruses, or harmful content.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell or sublicense access to the Service without our written consent.

6. Your Data

You retain ownership of all data you upload to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide the Service. We will not access your Customer Data except to provide support at your request or as required by law.

7. Intellectual Property

The Service, including its design, code, and content, is owned by the Company and protected by intellectual property laws. These terms do not transfer any intellectual property rights to you. You may not copy, reproduce, or create derivative works from the Service.

8. Availability and Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be notified in advance where possible. Support is provided via email at support@makeyouproductive.com.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will continue until the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these terms immediately and without notice.

11. Governing Law

These terms are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

12. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email. Continued use of the Service after changes constitutes acceptance of the updated terms.
